Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and JC Mirza Investments Pty Limited as trustee for The JC Mirza Trust, trading as PoolBuddy ("PoolBuddy", "we", "us", "our") governing your access to and use of the poolbuddy.app website, the PoolBuddy mobile app, the PoolBuddy device and any related products or services (together, the "Services"). By creating an account, placing an order or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

PoolBuddy provides pool water-quality monitoring, a companion app, informational guidance, and optional paid subscription features. Features described on the website or in the app represent planned and current functionality and may change, improve or be discontinued over time.

You agree not to misuse the Services, including by: breaching or attempting to breach security or access controls; interfering with or disrupting the Services; accessing another person's account or data without permission; using the Services for any unlawful purpose; scraping or harvesting data; or reselling access. We may investigate violations and cooperate with law enforcement where appropriate.

6. Intellectual property

The Services, including all software, designs, branding and content (other than your content), are owned by or licensed to PoolBuddy and are protected by intellectual-property laws. You retain ownership of content you submit; you grant us a worldwide, non-exclusive licence to use that content solely to operate and improve the Services. You may not copy, modify, distribute or reverse-engineer any part of the Services except as permitted by law.

7. Third-party services

The Services interoperate with third-party products and services (including payment, artificial-intelligence, hosting, connectivity and sign-in providers). Your use of those services is governed by their own terms. We are not responsible for the acts, omissions, availability or content of third parties.

8. Warranties and consumer rights

Except as required by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.

9. Limitation of liability

To the maximum extent permitted by law: (a) PoolBuddy is not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, data, goodwill or property damage, arising from or in connection with the Services, reliance on any information provided, service interruptions or third-party failures; and (b) where liability cannot be excluded but can be limited, our aggregate liability is limited, at our election, to resupplying the Services or paying the cost of resupply, and in all other cases to the total amount you paid us in the twelve months preceding the event giving rise to the claim.

10. Indemnity

To the extent permitted by law, you agree to indemnify and hold PoolBuddy harmless from claims, losses and expenses arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

11. Availability, changes and termination

We aim for reliable operation but do not warrant uninterrupted or error-free availability. We may modify, suspend or discontinue any part of the Services at any time, and may update these Terms from time to time with reasonable notice; continued use after changes take effect constitutes acceptance. You may stop using the Services at any time. Provisions that by their nature should survive termination (including liability, indemnity and intellectual-property provisions) survive.

12. General provisions

These Terms, together with the Privacy Policy and any order terms, are the entire agreement between you and PoolBuddy regarding the Services. If any provision is found unenforceable, the remainder continues in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a restructure or sale. Neither party is liable for delays caused by events beyond its reasonable control. Headings are for convenience only.

13. Governing law

These Terms are governed by the laws of Australia, and the parties submit to the non-exclusive jurisdiction of Australian courts. You retain all non-excludable rights under applicable consumer law.
